Terms of Use for Creators

PLEASE READ THESE CREATOR TERMS CAREFULLY BEFORE APPLYING TO BE OR OTHERWISE USING FANFIX AS A CREATOR. 

This Terms of Use for Creators (“Creator Terms”) are additional terms which apply if you use FanFix as a Creator (“Creator”, “you”, or “your”) and form part of your agreement with us.  By using FanFix as a Creator, you also agree to our General Terms of Service, Privacy Policy, Payment Terms, and Fan Terms (if you also use FanFix as a Fan), as applicable, all of which are incorporated herein by reference.

Capitalized terms not defined below will have the same meaning as provided in the underlying General Terms of Service.

1.1 Apply for a Creator Account.  To become a Creator, you may simply apply through the FanFix website: https://www.fanfix.io/. 

• Creators must be 18 years of age or older.
• Other eligibility requirements and limitations apply as determined in our sole discretion. 

Approval of your application to become a Creator is at our sole discretion.  We may direct you to provide information to Persona Identities, Inc. (“Persona”) for verification of your age, identity, and/or other eligibilities prior, during, and after your Account registration. 

1.2 Approval of Creator Account.  If we accept your application, then you’ll be notified that you are a Creator on FanFix.  Upon approval of your application to become a Creator, you can register a FanFix User ID and/or Account at no charge and cancel at any time in order to interact with your Fans through Direct Messaging and/or exclusive Content.  Your Account as a Creator starts upon your acceptance of this Agreement at the time of registration.  If you cancel or delete the Account, you may do so by emailing us at [email protected].  However, if you delete your Account, you cannot reactivate it or retrieve any Content or information that you have added to your portal on FanFix.  Therefore, if you choose to take a break, we recommend that you simply stop posting your Content, instead of deleting your Account. 

2.1 Interact with Your Fans.  On FanFix, you can provide your Fans something exciting that gives them unique benefits, like exclusive engagement, early access to Content, merchandise, and engaging experiences.  In return, you will receive loyal support from your Fans and recurring revenue from the Memberships, prepaid Direct Messages, Locked Content, and other opportunities as we expand our Revenue Programs (as outlined below).  You shall not permit or authorize your agents to impersonate you, use your likeness, name, or voice to deceive or manipulate other Users, or otherwise interact with your Fans for monetization purposes. You agree that we reserve the right to investigate, prevent or take other actions regarding suspected impersonation or other violation of our Community Guideline.

2.2 Memberships.  Creators may offer renewable membership subscriptions where Fans may pay a fee to purchase access to exclusive Content and/or other benefits (“Membership”).  Creators may offer Membership on a monthly or recurring basis as described to Fans when they purchase such a Membership.  Creators may also offer different tiers of Memberships based upon certain levels of Content, or other benefits offered to their Fans.  We have the sole discretion to set the fees for all Memberships and such fees are subject to change by us without notice (the “Membership Fees”).  Creators may request adjustments to their Membership Fees and we may choose to accept or reject these requests in our sole discretion.  Note that we are not required to allow any particular person or group of persons to be your Fans and/or purchase your Membership(s).

2.3 Direct Messaging.  In addition to Memberships, your Fans may also pay a fee or other valuable consideration for the rights to engage with you (without agents or other intermediaries) through direct messages on FanFix or video calls using a designated third party provider (together “Direct Messages” or “Direct Messaging”).  The minimum price for each Direct Message will be determined by us in our sole discretion. Creators may request adjustments to the minimum price for their Direct Messages, and we may choose to accept or reject these requests in our sole discretion.        

2.4 Locked Content.  You may generate and send message blasts with pre-populated Content that is behind a paywall (each a “Locked Content”) to your Fans who maintain an Account and have subscribed to receive messages from you.  A minimum price for each Locked Content will be determined by us in our sole discretion.  However, you may set approved fees for Locked Content so long as such price is higher than the minimum price set by us.  You may request adjustments to the minimum price for certain Locked Content, and we may choose to accept or reject these requests in our sole discretion.

2.5 Revenue Programs.  We offer multiple programs (“Revenue Programs”) so that you are rewarded for your creativity, including exclusive Content, product promotions, and other interactions with your Fans.  Further, as a condition for participation in the Revenue Programs and receiving payment as a Creator, you shall (i) comply with applicable laws (including tax regulations) and FanFix’s Acceptable Conduct; (ii) not authorize, enable, or permit any third-party (including your representatives) or the use of AI-generated impersonations of your name, likeness, or voice to interact with Fans; and (iii) not use your FanFix Account to promote one or more “Competitive Platforms”, which refer to Patreon, Passes, OnlyFans, and/or any other membership platform or on-demand payment platforms that allow Creators to sell subscriptions or otherwise charge fees for access to their Content.

2.6 Content Warranties.  As a Creator on FanFix, you warrant to us that each item of Content that you post, display, upload, or publish on FanFix:

• Your Content complies with our Terms of Service and Acceptable Conduct Guidelines;

• You either own your Content (and all intellectual property rights in it) or have a valid license to offer and supply your Content to your Fans on FanFix;

• If your Content includes any third-party material, you have secured all rights, licenses, written consents and releases that are necessary for the use of such third-party material in your Content and for the subsequent use of such third-party material on FanFix; and

• If your Content shows anyone else other than or in addition to you (even if that person cannot be identified from the Content), that each individual shown in any such Content is either (a) yourself, (b) another Creator on FanFix or (c) a consenting individual at least 18 years of age and that you have verified the identity and age of each such individual and will provide supporting documents as we may request in our discretion. 

3.1 Creator Fees.  On FanFix, Creators receive 80% of direct payment(s) made by Fans through FanFix for Memberships, Direct Messages, Locked Content, and any other Revenue Programs that enable Creators to monetize their Content (unless expressly superseded by Other Program Rules) (“Creator Fees”).  For clarity, other than Creator Fees set forth in each applicable Revenue Program, we reserve the right to retain all other revenues derived from FanFix as a platform.

• We will pay Creators the applicable Creator Fees approximately thirty (30) days after the end of the applicable calendar month or in accordance with other payment schedules or plans(s) made available to Creators by us.

• For certain Memberships, a Fan may choose to pay in advance for a duration of 3-months or longer (“Bulk Membership Period”).  In those instances, your Creator Fees will equal a Fan’s total payment at the time of the initial purchase (or renewal) of the Membership less the FanFix Fees (“Bulk Membership Payment”).

• Notwithstanding the foregoing, we reserve the right, in our sole discretion, to withhold and/or deduct payment of your Creator Fees from your Account or recover the Creator Fees previously paid to you, if during the applicable duration (for Bulk Membership) or during the applicable month (for single-pay options) when your Content or Memberships generates Creator Fees, you engage in the following activities: (i) promote one or more Competitive Platform on your FanFix Account in violation of your conditions for participation as a Creator, including these Creator Terms; (ii) allow or enable a 3^rd party (including your representatives) to impersonate you or duplicate or impersonate your likeness, name, or voice, for purposes of interacting with your Fans. 

• Depending upon the location of a Fan, some banks may charge your Fans a foreign transaction fee for their Direct Messages and/or other interactions with Creator(s).  FanFix does not control this charge, which is typically around 3.0%.  Please contact your bank for more information regarding this applicable foreign transaction fee as we do not have any control over the application or amount of such a fee.

3.2 FanFix Fees.  We keep the remaining 20% of every transaction on FanFix including, without limitation, direct payment(s) made by Fans for Memberships, Direct Messages, Locked Content, and any other Revenue Programs on FanFix (the “FanFix Fees”). The FanFix Fees do not include any taxes, including, but not limited to income taxes on a Creator’s earnings, which is the sole responsibility of each Creator.  For more information, see “Tax” in the Subsection below. 

3.3 FanFix Payment Terms.  Notwithstanding the above, the calculation and payment of all Creator Fees and FanFix Fees are subject to our Payment Terms which are incorporated herein by reference. 

3.4 How We Manage and Process Payments.  We also handle payment processing issues such as fraud, chargebacks and resolution of payment disputes.  We try to provide you timely access to your Creator Fees as described above, but you may occasionally experience delays in receiving or accessing your Creator Fees.  We may also block or hold payments of Creator Fees, in our sole discretion, for violations of our policies or for compliance reasons, including collecting tax reporting information. When payments of Creator Fees are delayed or blocked, we try to communicate the reason to you promptly. If you have questions about a payment that has been blocked, please contact us at [email protected].  To protect Creators, we may block Fans’ payments if we believe them to be fraudulent.  Sometimes activities like refunds can put your Account’s balance into the negative.  If your balance becomes negative, then we reserve the right to recover those funds from future payments.  

• We may withhold all or part of any Creator Fees due to you, but not yet paid out, in our sole discretion for the following reasons:

• If we think that you have or may have breached any part of these Creator Terms, the General Terms of Service, or any other applicable polices or guidelines applicable to FanFix;

• For compliance reasons including, without limitation, collecting tax reporting information;

• If you attempt or threaten to breach any part of the General Terms of Service or these Creator Terms in a way which we think has or could have serious consequences for us or another User including, without limitation, actual or possible loss, including without limitation:

• If we suspect that all or any part of the Creator Fees result from unlawful or fraudulent activities, either by you or the Fan who made the payment resulting in the Creator Fees;

• If we suspect that all or part of the Creator Fees result from the Creator’s use of third-party intellectual property that the Creator did not have written permission to use or is otherwise in violation of the ownership rights of others;

• We have received notice that you have secured, encumbered, pledged, assigned, or otherwise allowed a lien to be placed on your Creator Fees.  We undertake no duty to pay Creator Fees to third-party lienholders and may withhold payment of Creator Fees until the lien has been removed;

• We shall not have any responsibility to you if we withhold or forfeit any of your Creator Fees where we have the right to do so under these Creator Terms. 

• If you do not provide us, or our third-party payment provider, with all required payment information, you may not be able to receive the Creator Fees due to you.  You acknowledge and agree that we will not be responsible for any damages, delays, losses, costs, expenses, or liabilities arising out of or in connection with your inability to receive Creator Fees or other payments as a result of your failure to provide such information.

3.5 Tax:  We collect tax identification information, W-9s (and other similar documentation), and report them to applicable tax authorities as legally required.  You are required to complete any tax documentation we request and report any income as required by applicable law.  All international, federal, state or other tax liabilities (including income taxes) arising from your use of FanFix will be your sole responsibility unless otherwise explicitly noted by us.  You agree that we may deduct and withhold from any earned Creator Fees any sums, including all tax obligations, required to be withheld and/or paid by us to any governmental authority pursuant to any laws, statutes, ordinances, rules, judgments, or decrees now or hereafter in effect. 

• You agree that you are solely responsible for reporting and paying any applicable taxes in connection with any revenue you may earn from your participation in any Revenue Program on FanFix. You agree to cooperate with us and provide additional information about yourself in order to receive payments from us and so that we can comply with applicable laws.  Your obligations under this “Tax” Subsection survive expiration or termination of these Agreement.

• For the avoidance of doubt, you acknowledge and agree that we are not responsible for advising you on your tax affairs and will not be liable in respect of any general information provided on FanFix and will not be liable for any non-payment of taxes by you.  We reserve the right to suspend or close your Account if we are notified of or become aware of any tax non-compliance by you. 

4.1 Other Programs. From time to time, we may run one or more additional programs that provide a Creator the opportunity to earn additional or alternative revenue (“Other Program”).  We reserve the right to discontinue or modify all or part of Other Programs at any time.  As a Creator, Your participation in one or more Other Program(s) will be contingent upon your agreement to any terms, rules or policies that we may require you to agree to before your participation in such program (“Other Program Rules”), which supplement this Agreement unless varied in such Program Rules. To the extent a Creator executes a written Creator Agreement with us that makes reference to the General Terms of Service including these Creator Terms, such written Creator Agreement will govern and control (in the event of conflict between these Creator Terms and that Creator Agreement).

4.2 Promotions.  A Creator may use FanFix to promote products, host contests, or organize sweepstakes (collectively, “Promotion”).  You are solely responsible for ensuring that each Promotion complies with all applicable laws and our Terms of Service.  This includes setting up the official rules, terms, and eligibility requirements, and complying with marketing and carrier regulations.  Some laws in certain jurisdictions require that promotions may only be offered by a registered a 501(c)(3) charity.

• Because legal requirements for Promotions can vary by location, you need to engage your own lawyer or other professional advisor to ensure you will not violate any applicable laws.  We are not responsible or liable to you in any way if you use FanFix as part of your Promotion.

• Your Promotion’s official rules should expressly state that each entrant or participant completely releases FanFix from liability for all claims or disputes based on, related to, or arising from the Promotion.  You must make clear through the presentation of your Promotion that your Promotion is in no way sponsored or endorsed by FanFix. 

We are constantly trying to improve FanFix, so these Creator Terms may need to change over time.  We reserve the right to modify these Creator Terms at any time and any such changes will be effective on posting.  You can tell when changes have been made to these Creator Terms by referring to the “Last Updated” legend on the top of this page.  We will provide you with advance notice of a major change to these Creator Terms.  For example, we may (i) require that you reaccept the updated version of these Creator Terms, (ii) send you an electronic notification advising of the update to these Creator Terms, or (iii) include a notice on FanFix.  We do not ordinarily provide advance notice of a minor change and encourage you to check these Creator Terms each time you visit FanFix. 

Your continued use of or access to FanFix as a Creator after these Creator Terms have been updated (and after notice for a major change) indicates your agreement and acceptance of the updated version of these Creator Terms.
